Annual Meeting 2017
Don't miss out on this year's 77th annual meeting of members on Thursday, Sept. 14. During this year’s annual meeting, members will conduct the business of the cooperative, including voting for directors and proposed bylaw amendment (see below). When the petition period closed on Monday, July 31, the following members had submitted petitions to become director candidates:
District 1: Janice Dorson, Sullivan (unopposed)
District 2: Debbie Willette, Sullivan (unopposed)
District 3: Joe Cason, Cuba (unopposed)
The three candidates will be elected by motion during the morning business session on Thursday, Sept. 14.
To vote on the proposed bylaw amendment, members must be in attendance during the morning business session of the annual meeting held at the co-op headquarters on Thursday, Sept. 14.
Shall the bylaws of Crawford Electric Cooperative be amended to provide for the inclusion of members participating electronically or by mail in the calculation of a quorum for the transaction of business at all meetings of the members, and to permit the possibility of voting by electronic means in elections of directors, consistent with Missouri statute?
Article III Meetings of Members, Section 4. Quorum
Two percent of the first two thousand members and one percent of the remaining members, present in person ADD [or participating electronically or by mail], shall constitute a quorum for the transaction of business at all meetings of the members. If less than a quorum is DELETE
present ADD [established] at any meeting a majority of those present in person may adjourn the meeting from time to time without further notice, provided that the Secretary shall notify any absent members of the time and place of such adjourned meeting.
Article III Meetings of Members, Section 5. Voting
Each member shall be entitled to only one vote. Except as provided in Article IV, Section 3 and Article VIII, all questions shall be decided by a vote of the majority of the members voting thereon in person if a quorum is DELETE
present ADD [established].
Article IV Directors, Section 3. Election and Tenure of Office
There shall be one (1) director elected by ballot from each district to serve until the third succeeding annual meeting of the members or until their successors shall have been elected and shall have qualified. Each member of the Cooperative shall be entitled to vote for one (1) candidate from each district. The candidate from each district receiving the highest number of votes shall be considered elected as director. Ballots for the election of directors may be submitted ADD [electronically or] by mail under procedures established by the Board of Directors and announced with the notice of annual meeting.
